Dimenl Terms & Conditions
The contract that governs every build we deliver.
Effective 01 February 2025 · Applies to all Dimenl customers, workspaces, and partner facilities.
By creating a Dimenl account, uploading designs, or placing an order, you agree to these Terms & Conditions. Please review them carefully before approving any quotations or releasing production runs.
1. Scope of services
Dimenl provides software workflows, instant quotations, and access to a vetted manufacturing network for custom fabrication, including laser cutting, CNC, and additive manufacturing.
- Services commence once you submit designs, approve pricing, and complete the required payment milestone.
- Unless expressly stated, Dimenl does not design parts; you remain responsible for the accuracy and manufacturability of supplied models and drawings.
- Prototype, pilot, and production runs may be fulfilled by Dimenl-operated facilities or qualified partner workshops under our supervision.
- Any estimated lead times are indicative and subject to material availability, design complexity, and order volume.
2. Account responsibilities
Workspace owners control collaborator access and must ensure information shared through Dimenl is lawful and accurate.
- Maintain current contact details, invoicing references, and statutory details (GSTIN, PAN, import/export licence if applicable).
- Protect login credentials and notify Dimenl immediately of unauthorised access or credential compromise.
- Ensure only authorised team members upload designs, approve quotations, or release jobs to production.
- Do not upload malware, exploit code, or content that violates intellectual property, export controls, or applicable laws.
3. Orders, approvals, and change requests
Manufacturing begins only after you approve the quotation, specifications, and production documentation presented inside Dimenl.
- You are responsible for reviewing tolerances, finishes, material specifications, and revision numbers before approval.
- Change requests post-approval may alter pricing or lead times; Dimenl will issue a revised quotation for written confirmation.
- Dimenl may decline orders that are unsafe, outside capacity, or conflict with legal obligations; any payments received will be refunded if production has not started.
- Dimensional or quality complaints must be raised within 48 hours of delivery with photographic evidence and inspection reports.
4. Pricing, taxes, and payment terms
Quotes are provided in INR unless otherwise stated and are valid for the timeline mentioned on the quotation summary.
- Prices exclude GST and applicable duties, which are added to invoices as required by law.
- Unless you have an approved credit line, jobs require 100% advance payment before production scheduling.
- Dimenl may request stage-wise payments for large or recurring programmes; milestone triggers are specified in writing.
- Bank fees, currency conversion charges, or UPI limits are the customer’s responsibility.
5. Delivery, risk, and inspection
Dimenl manages packaging and dispatch through trusted logistics providers; delivery obligations depend on the Incoterms stated in the quotation.
- Risk transfers to you when the shipment is handed over to the carrier, except where Dimenl agrees to insured delivery in writing.
- Inspect shipments immediately upon receipt and note transit damage with the carrier to preserve claims.
- If parts require controlled storage, climate conditioning, or specialised packaging, specify these requirements prior to production.
- Dimenl is not responsible for delays caused by customs, regulatory inspections, or inaccurate delivery information supplied by you.
6. Intellectual property and confidentiality
You retain ownership of all uploaded designs and grant Dimenl a limited licence to use them solely for quotation, manufacturing, and quality assurance.
- Dimenl and its partners will not disclose or reproduce your designs beyond fulfilling approved orders unless you provide written consent.
- Where a mutual NDA exists, its terms apply in addition to this agreement; in case of conflict, the stricter confidentiality obligation prevails.
- Feedback, process improvements, or anonymised usage insights developed by Dimenl remain our intellectual property.
7. Warranties, liability, and indemnities
Dimenl warrants that parts will conform to agreed specifications and workmanship standards; all other warranties are disclaimed to the maximum extent permitted by law.
- Your exclusive remedy for non-conforming parts is rework or replacement; refunds are not offered for customised builds.
- Dimenl’s aggregate liability for a project is limited to the fees paid for the specific order giving rise to the claim.
- You agree to indemnify Dimenl against losses arising from IP infringement claims, unsafe design instructions, or misuse of delivered parts.
- Neither party is liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
8. Suspension, termination, and governing law
Either party may terminate the relationship for material breach with 15 days’ written notice if the breach remains unremedied.
- Dimenl may suspend access immediately for suspected fraud, unlawful activity, or security threats.
- Upon termination, outstanding invoices become immediately due and open manufacturing work may be halted.
- Clauses on confidentiality, IP ownership, limitation of liability, and dispute resolution survive termination.
- These Terms are governed by the laws of India with exclusive jurisdiction of the courts in Bengaluru, Karnataka.
